Terms of Use
These terms are the agreement between you and Endless River for using Countly. We've kept them as plain as we can. The most important part is section 03 — Countly's counts are helpful estimates, not legal or tax advice. Please read it.
Accepting these terms
By downloading or using Countly, you agree to these Terms of Use and to our Privacy Policy. If you don't agree, please don't use the app. Countly is provided by Endless River ("we", "us", "our").
What Countly does
Countly estimates how many days you spend in each country and checks that against rules you choose — tax-residency thresholds (such as 183 days), the Schengen 90/180 limit, visa caps and custom rules — so you can see where you stand and plan ahead.
Not legal, tax or immigration advice
Countly is an informational tool. Its day counts, forecasts and rule results are automated estimates, based on location your device provides and on the information you enter. They can be incomplete or wrong — for example when your phone is off or loses signal, near borders, while travelling, or where a rule has exceptions Countly doesn't model.
Do not rely on Countly as the sole basis for any legal, tax, immigration, residency or travel decision. Always confirm with official records and a qualified professional, such as a tax adviser or immigration lawyer. You are solely responsible for your own compliance with any law, visa condition or residency rule.
Your responsibilities
To get accurate results, you should grant the permissions Countly needs, keep the app reasonably up to date, and review and correct your history. You're responsible for the accuracy of anything you enter, and for the decisions you make.
Licence to use Countly
We grant you a personal, non-exclusive, non-transferable and revocable licence to use Countly on devices you own or control, for your own non-commercial use, subject to these Terms and to the App Store or Google Play terms that apply to your download.
Acceptable use
Please don't:
- Copy, resell, rent or redistribute the app.
- Reverse engineer, decompile or modify it, except to the limited extent the law expressly allows.
- Use it unlawfully, or to infringe anyone's rights.
- Attempt to disrupt, attack, or circumvent the app's security or licensing.
Countly Pro, subscriptions and payments
Some features require Countly Pro, available as an auto-renewing subscription or a one-time purchase.
- Billing is handled by Apple's App Store or Google Play, through your account with them.
- Subscriptions renew automatically for the same period and price until you cancel; manage or cancel them in your App Store or Google Play account settings.
- Any free trial automatically converts to a paid subscription unless you cancel before it ends.
- Prices, plans and Pro features may change; a change won't affect a billing period you've already paid for.
- Refunds are handled by Apple or Google under their policies; we generally can't issue them directly.
Intellectual property
Countly and Endless River — including the apps, their design, text, graphics and brand — are owned by us and protected by law. These Terms don't give you any ownership in them. All rights we don't expressly grant are reserved.
Third-party services
Countly relies on services we don't control — the App Store, Google Play, your device's backup, and optional crash reporting. Your use of those is governed by the relevant third party's terms and privacy policy, and we're not responsible for them.
The app is provided "as is"
Countly is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and accuracy of results, and we don't warrant that the app will be uninterrupted, error-free, or that its counts will be correct. Some jurisdictions don't allow certain exclusions, so some of these may not apply to you.
Limitation of liability
To the fullest extent permitted by law, Endless River will not be liable for any indirect, incidental, special or consequential damages, or for any loss arising from decisions you make in reliance on the app — including any tax, immigration, financial or legal consequence. Where liability can't be excluded, our total liability to you is limited to the amount you paid for Countly in the twelve months before the claim. Nothing in these Terms limits liability that can't be limited by law, including your mandatory consumer rights.
Changes
We may update Countly and these Terms from time to time. When we change the Terms, we'll update the "Effective" date above; significant changes will be flagged in the app or here. Continuing to use Countly after a change means you accept the new Terms.
Ending these terms
You can stop using Countly and uninstall it at any time. We may suspend or end your right to use the app if you materially breach these Terms. Sections that by their nature should survive — such as intellectual property, disclaimers, limitation of liability and governing law — continue to apply.
Governing law
These Terms are governed by the laws of the jurisdiction in which Endless River is established, without regard to its conflict-of-laws rules, and the courts of that jurisdiction will have non-exclusive jurisdiction over any dispute. This does not deprive you of the protection of the mandatory consumer-protection laws of the country where you live.
Apple App Store
If you downloaded Countly from the Apple App Store, this section applies. These Terms are between you and Endless River only, not Apple. Apple has no obligation to provide maintenance or support for Countly, and is not responsible for any product warranties or for addressing any claims relating to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
